1. Definitions
obqo: the coaching and career platform for higher education, based in Amsterdam.
Customer: the educational institution entering into an agreement to use obqo.
User: any person with access to obqo through the customer (coaches, students, administrators).
2. Services
obqo provides a SaaS platform for coaching, flow management, career guidance and reporting. Exact functionality and limits are determined by the agreed subscription.
3. Agreement
An agreement is formed after written or digital acceptance of a quote. The agreement runs for the agreed term (default: 12 months) and renews automatically unless terminated in writing with a 3-month notice period.
4. Pricing and payment
Prices are set per quote and are exclusive of VAT. Invoicing is annual in advance unless otherwise agreed. Payment is due within 30 days of the invoice date.
5. Availability
obqo targets 99.5% availability on an annual basis, excluding planned maintenance. Planned maintenance is announced at least 48 hours in advance.
6. Data and privacy
obqo processes personal data in accordance with the GDPR. See our privacy policy for details. On termination of the agreement, all data is deleted within 90 days unless the customer requests an export.
7. Intellectual property
All intellectual property rights in the obqo software remain with obqo. The customer receives a non-exclusive right of use for the term of the agreement. Data entered by the customer remains the customer's property.
8. Liability
obqo's liability is limited to the amount paid by the customer to obqo in the 12 months preceding the event giving rise to the claim. obqo is not liable for indirect damages, consequential loss or lost profits.
9. Termination
Either party may terminate the agreement for material breach by the other party, following a written notice of default with a 30-day cure period. On termination, obqo facilitates export of all customer data in a common format (CSV).
10. Governing law
These terms are governed by Dutch law. Disputes are submitted to the competent court in Amsterdam.
